HUT™. Resale End User License Agreement for One Computer
NOTICE TO USER:
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND IMAGE HUT™. ("IMAGE HUT") IF YOU
DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT PLACE AN ORDER FOR THE IMAGE.
License Grant
The license to use
and reproduce the images and any derivatives or copies (collectively "Images")
sent by IMAGE HUT.
Usages
IMAGE HUT grants
you the non-exclusive right to copy the Images onto your computer hard drive and to use
the Images on one computer and with one user at a time. Where appropriate, the Images are
model-released. The Images may be copied, modified or incorporated in materials for
personal, internal company use and for use in advertising and promotional materials for
you or your clients. This license allows you to sell the Images in a product where the
Images themselves are the primary value of the product, for example in calendars, post
cards, greeting cards etc.
License Restrictions
You may not:
- Sublicense, re-license, rent or lease the Images;
- Copy the Images to a
network, bulletin board or allow such network use by anyone other than the registered
owner without prior written consent from IMAGE HUT;
- Use the Images for
any form of pornography, or in a libelous, defamatory, or infringing manner;
- Sublicense the
images or re-license the Images as stock photography or for the consumption of others as
stock photography or clip photography;
- Use the Images to
promote a business that provides the Images to its customers.
Copyright/Proprietary Protection/International
All rights in the
Images are owned by IMAGE HUT and its licensors, and are protected by the United States
and international copyright laws and international treaty provisions. You must treat the
Images like any other copyrighted material, except to the extent that this license
provides to the contrary. IMAGE HUT and its licensors retain the rights not expressly
granted by this agreement. Your right to use the Images terminates automatically if you
violate any part of this License. In the event of termination, you must immediately
destroy all copies of the Images or return them to IMAGE HUT. You may be held legally
responsible for any copyright infringement that is caused or encouraged by your failure to
abide by the terms of this agreement. You may not use the IMAGE HUT name except as a
credit or copyright notice with the Images. You agree that the Images will not be shipped,
transferred or exported into any country or used in any manner prohibited by any export
laws, restrictions or regulations.
Transfer
The license granted
under this agreement may not be transferred without the prior written consent from IMAGE
HUT and will be terminated automatically without notice if you fail to comply with any
portion of this agreement.
Validity
If any part of this
agreement is found void and unenforceable, it will not affect the validity of the balance
of the agreement, which shall remain valid and enforceable according to its terms.
Warranties
IMAGE HUT warrants
that it has the right to grant this license to you. IMAGE HUT does not and cannot warrant
the performance or results you may obtain by using the Images or documentation contained
on the website. IMAGE HUT makes no warranties, express or implied, as to the
non-infringement or the merchantability or fitness for any particular use. In no event
will IMAGE HUT be liable to you for any consequential, incidental or special damages,
including any lost profits or lost savings or for any claim of a third party.
